Terms of Service

1. Acceptance of Terms

By accessing or using NovaQore's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these terms, you may not use our services.

2. Services

NovaQore provides technology services including custom website development, VoIP phone system consulting and installation, and related digital services. All services are provided on a project basis with specific deliverables, timelines, and requirements outlined in individual project agreements.

3. Project Agreements

Each project will be governed by a separate project agreement that outlines scope, timeline, deliverables, and payment terms. These Terms of Service apply to all projects unless specifically modified in writing.

4. Payment Terms

Payment terms will be specified in individual project agreements. Generally, projects require full payment before work begins. All payments are processed securely through Stripe.

5. Intellectual Property

Upon full payment, clients retain ownership of custom-developed applications and deliverables. NovaQore retains rights to general methodologies, frameworks, and any pre-existing intellectual property used in development.

6. Free Hosting Terms

NovaQore provides free lifetime hosting by leveraging free tier services from platforms like Vercel, Google Cloud, Firebase, and similar providers. This arrangement is subject to the following:

  • If any hosting provider discontinues their free tier or promotional offerings, NovaQore reserves the right to adjust or discontinue free hosting services with 30 days notice.
  • Usage limits are identical to those imposed by the hosting providers (typically bandwidth, storage, and compute limits).
  • If your project exceeds these free tier limits, you will be responsible for additional hosting costs based on the provider's overage pricing.
  • NovaQore will notify you before any charges are incurred and provide options for optimization or paid hosting arrangements.

7. Free Maintenance Terms

NovaQore provides free lifetime maintenance to ensure your application remains functional and secure. This includes:

  • Security updates and patches for the core application
  • Framework and dependency updates to maintain compatibility
  • Bug fixes for issues that arise from our original development
  • Performance monitoring and optimization
  • Basic uptime monitoring and issue resolution

This maintenance does NOT include:

  • New feature development or functionality changes
  • Design updates or content modifications
  • Third-party plugin, API, or service integration issues
  • Issues caused by external dependencies or services beyond our control
  • Custom modifications or enhancements requested after project completion

8. VoIP Services

VoIP consulting and installation services cover the consultation, system audit, and on-site setup only. The cost of the phone system hardware, RingCentral service plan, and monthly fees are separate and will be quoted during the audit process. NovaQore is not responsible for RingCentral service outages, pricing changes, or third-party service disruptions.

9. Warranties and Liability

NovaQore provides services 'as-is' and makes no warranties regarding uptime, performance, or fitness for specific purposes. Our liability is limited to the total amount paid for services.

10. Modifications and Termination

Either party may terminate a project agreement with written notice. NovaQore reserves the right to modify these terms with 30 days notice. Continued use of services constitutes acceptance of modified terms.
